Corporate Law & Business Law
The management is the body responsible for managing and representing an SARL. One or more managers may be appointed, whether partners or not. The articles of association and appointment acts must be read to identify their attributions and signature rules.
Holding shares and having the power to bind the company are two different questions. Before signing a contract, check whether an individual signature suffices or if a joint signature is necessary. The corporate mandate must also be distinguished from a possible employment contract: remunerating the manager does not suffice to establish an employment relationship.
The control of powers is based on up-to-date documents. A business card or an old email signed "manager" does not establish the permanence of the mandate. Compare the appointment act, the articles of association, and useful publications before an engaging operation.
