Corporate Law & Business Law
The articles of association organize the constitution and operation of a Luxembourg company. They specify notably its form, name, object, registered office, capital, and management rules adapted to the chosen structure.
The form of the act depends on the type of company: some constitutions require a notarial deed, while others allow a private deed. The filing and publicity formalities must then be respected. For private documents intended for publication, Guichet specifies the applicable language requirements.
In practice, a model is a starting point, not the automatic description of the project. Before signing, verify who can commit the company, how decisions are made, and how participations can evolve. The corporate purpose must correspond to the planned activity. Particular agreements between partners also require examination of their articulation with the articles and legal rules.
