Corporate Law & Business Law
The SARL is a capital company whose partners generally bear losses up to the amount of their contributions. The classic Luxembourg SARL has a minimum capital of 12,000 euros and is constituted by notarial deed. Its operation and the transfer of shares are governed by law and the articles of association.
The choice must consider the intended investors, signing powers, and the future exit of partners. Limited liability does not protect against personal guarantee commitments and does not exempt the manager from fulfilling obligations. Therefore, the risk of the partner and that of the manager must be examined separately.
