The shareholders' agreement is a contract that organizes the commitments of its signatories concerning their participation in a company. It can address voting, information, or exit from the capital. Its effects must be distinguished from those of the articles of association and examined with respect to each concerned person.
During an investment, identify the signatories, beneficiaries, and conditions for future shareholders' adhesion. The agreement and the articles of association must be read together: contractual commitments do not replace corporate decisions and their formalities. For a financing commitment, also specify who can request the payment and for whose benefit.

The Court orders further investigation into the standing to act; this judgment should not be presented as a general validation of the agreement or its clauses.
