Corporate Law & Business Law
A legal entity is an entity to which the law grants a legal personality distinct from that of the individuals who compose it. A company endowed with this personality can notably own assets, enter into contracts, and take legal action in its name.
This distinction primarily serves to identify the correct interlocutor: the company, its shareholder, and its manager are not interchangeable. On a contract or procedure, note the exact name, registration number, and the signatory's capacity. An identity error can complicate payment or the execution of a decision, even when the parties are commercially acquainted.
This distinct personality also helps classify documents: the company's assets, the shareholder's commitments, and the manager's mandate do not belong to the same file. Before claiming a sum, it is necessary to identify the person actually engaged.
